Terms of Service
The agreement between your business and Shipbell: what the service does, what you are responsible for, how plans and payment work, who owns what, and what happens when things go wrong.

In short
- These terms are the agreement between your business and Shipbell for using Shipbell.
- Shipbell is for business and professional use, not for consumers.
- You are responsible for your end users' data and for what happens on your boards. We process that data for you under our Data Processing Agreement.
- There is a free plan and there are paid plans. Paid plans are billed through our payment processor.
- You own your content. You can export it and delete it.
- We do not promise any particular uptime.
- Follow our Acceptable Use Policy, or we may remove content or suspend your account.
Who we are
Shipbell (shipbell.app) is provided by [legal-entity-name], registered at [registered-address], registration number [registration-number], VAT number [vat-number]. In these terms, "Shipbell", "we" and "us" mean [legal-entity-name].
"You" means the business, organisation or professional that creates a Shipbell workspace or uses Shipbell under one. "End users" means the people who use your apps, your boards and the other places where you use Shipbell.

What Shipbell does
Shipbell is a feedback service for app developers. With it you can:
- collect problem reports, with diagnostics and screenshots, and ideas from inside your apps, through the web widget, the iOS package and the REST API;
- run a board for each app at its own address on shipbell.app, where end users can vote, say "me too", comment and follow items;
- reply to end users, show your progress on the board and publish a changelog;
- let the people who asked know by email when something changes.
These terms cover the Shipbell website, the admin at app.shipbell.app, the boards, the developer pages, the API, the widget, the iOS package and our emails (together, "the service").
These terms include our Acceptable Use Policy, our Data Processing Agreement and our Cookie Policy. Our Privacy Policy explains how we handle personal data.
Accounts and eligibility
- Shipbell is a service for business and professional use. By creating a workspace, you confirm that you use Shipbell for your business, trade or profession, and not as a consumer.
- If you accept these terms for a company or other organisation, you confirm that you may bind it. That organisation is then "you" in these terms.
- You must be old enough to make a binding contract where you live.
- A workspace is your developer account. It can have several team members, each with a role: owner, admin or member. Owners manage billing and can delete the workspace.
- Each team member signs in with their own account, with an email address and password or with their Google account. Do not share accounts.
- Give us accurate details and keep them up to date, in particular an email address where we can reach you.
- Keep your sign-in details and API keys safe. You are responsible for what happens in your workspace. Tell us at info@shipbell.app if you think someone else has access to it.
Your responsibilities for your end users
Your end users use Shipbell through your apps and boards. For their personal data, you are the controller and we are your processor. The Data Processing Agreement sets out how we process it. You are responsible for:
- telling your end users, in your own privacy notice, that you use Shipbell and what it collects, and linking that notice from your board. You can set your board's privacy, terms and contact links in the project settings;
- having a legal basis for everything your apps send through Shipbell, including diagnostics, the extra details your app adds ("context") and the user details you send;
- not sending more personal data than you need. Do not send passwords, payment card numbers, government ID numbers or health data in diagnostics, context or user details;
- choosing your project's settings with care: whether reports can be public and which choice is selected at first, whether screenshots are allowed, which diagnostics are included and how long data is kept;
- vouching only for real, signed-in users of your app. Your server signs the sign-in tokens with your own private key. We store only the matching public key, so keep the private key secret;
- keeping secret API keys on your servers, never in an app, a web page or a public code repository;
- answering your end users' requests to see, correct, export or delete their data. Shipbell gives you tools for this;
- respecting your end users' email choices, and making sure you may send the emails you switch on, including announcements of your new apps;
- moderating your board and dealing with reports about content on it.
If an end user contacts us about data you control, we refer them to you, and we help you as the Data Processing Agreement describes.
Acceptable use
You must follow our Acceptable Use Policy, and make sure your team and your apps do too. Content on your boards must follow it as well.
Plans and payment
- Shipbell has a free plan and paid plans. Each plan has its own features and limits, which are shown before you choose it.
- Paid plans are billed through our payment processor. You allow us and our payment processor to charge the payment method you give us for the plan you choose and for any taxes due.
- Prices do not include taxes such as VAT unless we say so. We add taxes where the law requires them.
- Billing periods and when you are charged: [billing-periods]. A paid plan renews automatically at the end of each billing period, for the same period, until you cancel it.

- We may change prices and plans. We tell the workspace owners by email at least [price-change-notice-period] before a new price applies to you. It applies from your next billing period after that. If you do not agree, you can cancel before it applies.
- If a payment fails, we tell you. If it is still unpaid [payment-failure-grace-period] later, we may move your workspace to the free plan or suspend its paid features.
- If you move to a plan with lower limits, the features and limits of the new plan apply from the time the change takes effect.
- We may change what the free plan includes. We tell you in advance about changes that reduce it.
Your content and our licence
"Your content" means everything you, your team and your end users put into Shipbell: reports, ideas, comments, votes, screenshots, diagnostics, changelog entries, branding and settings.
- As between you and us, you own your content. We do not claim ownership of it.
- You give us a worldwide, non-exclusive licence to host, store, copy, process, send and display your content, and to adapt it technically (for example by re-encoding images or turning Markdown into web pages). We use this licence only to provide, secure and support the service for you, and where the law requires it.
- Public content on your board, such as ideas, public problem reports and changelog entries, is shown to everyone who can open the board. You decide who that is with your board's visibility setting.
- You confirm that you have the rights we need to do this with your content.
- If you send us ideas or suggestions about Shipbell itself, we may use them without any obligation to you.
Content on boards
Boards host content that your end users post: ideas, comments, votes and public problem reports. We store and show this content for you as a hosting service.
- You are responsible for moderating your board. Shipbell gives your team tools to hold, approve, reject, hide, redact and make content private, and to block users.
- Automatic rules hold some posts for review before they appear, for example posts with several links, very short posts, repeated posts, and posts that match a word filter or your own blocklist. You can also choose to hold every post. Held content stays hidden until someone on your team reviews it.
- Every public item has a Report button. When three different people report an item, it is hidden until your team reviews it.
- Anyone can tell us about illegal content on a board, without signing in, with the Report content form linked at the bottom of every board page. Notices go to the board's team, and we may also review them and act on them.
- When content is removed, hidden or made private because it is illegal or breaks the rules, its author is told the reason by email, where we have their email address.
- If you disagree with a decision about content, write to info@shipbell.app.
- We may remove or restrict content, or take a board offline, if the content is illegal, breaks the Acceptable Use Policy, or puts the service, other customers or end users at risk.
If you post on a board:
- you keep ownership of what you post;
- you allow the app's developer and us to store, show and share your post as the board and your own choices allow. For example, a public report is shown on the board until you or the team make it private;
- the app's developer may use the ideas and suggestions you post without paying you or owing you anything;
- you must follow our Acceptable Use Policy, and must not put personal details, your own or anyone else's, in public posts.
Availability and changes to the service
- We work to keep Shipbell available and secure, but we do not promise any particular uptime, and we offer no service level agreement unless we agree one with you in writing.
- The service may be interrupted, for example for maintenance, updates, problems at our providers or events outside our control.
- The web widget and the iOS package are designed so that your apps keep working when Shipbell cannot be reached.
- We may change, add or remove features. We tell you in advance about changes that significantly reduce what your paid plan includes.
- We set limits, such as rate limits on the API and size limits on uploads, to keep the service working for everyone.
Suspension and termination
- You can stop using Shipbell and delete your workspace at any time. Cancelling a paid plan is covered under "Plans and payment".
- We may suspend all or part of your workspace, a project, a board or your email sending if you break these terms or the Acceptable Use Policy, if a payment is overdue as described above, if your use puts the service, other customers or end users at risk, or if the law or an authority requires it.
- Where we can, we tell you first and give you a chance to fix the problem. We may act without notice when the risk is serious or the law requires it.
- We may end these terms if you seriously or repeatedly break them. We may also end them for any other reason by giving you [termination-notice-period] notice.
- When these terms end, your access ends. You can export your data for [post-termination-export-period] afterwards, as described under "Data export and deletion".
- Parts of these terms that are meant to continue, such as those on liability, amounts due and governing law, continue after the terms end.
Data export and deletion
- You can export each project's data while you use Shipbell.
- You can export or erase the data of a single end user in the admin or through the API. Export files are kept for 7 days.
- When you delete a project or your workspace, or when these terms end, we delete your content from our live systems within [account-deletion-period], after the export period above where it applies.
- Backups are deleted after 30 days, plus the period during which they are locked against deletion ([backup-lock-period]). If we ever restore a backup, we first apply again the erasures of end-user data made after that backup was taken.
- We may keep data for longer where the law requires it, for example billing records.
- Our Privacy Policy and our Data Processing Agreement give the details.
Data protection and security
The Data Processing Agreement applies whenever we process personal data for you, and is part of these terms. Our Privacy Policy explains how we handle personal data as a controller, such as your team's account data. Both describe how we protect data.
Shipbell's software and brand
- We own Shipbell, its software, the widget, the iOS package and our brand. These terms do not transfer any of them to you.
- While these terms apply, you may use the service, and include the widget and the iOS package in your apps, to use Shipbell as intended.
- Boards show a "Powered by Shipbell" link unless your plan lets you remove it.
- Do not copy, resell or reverse engineer the service, except where the law or the licence of a component allows it.
What we promise, and what we do not
We provide the service with reasonable skill and care. Apart from that, and as far as the law allows, we provide it "as is" and make no other promises, for example that it will be free of errors or meet every need you have.
Liability
- Nothing in these terms limits or excludes liability that the law does not allow to be limited or excluded, such as liability for fraud, or for death or personal injury caused by negligence.
- Apart from that, neither of us is liable for indirect or consequential loss, or for loss of profits, revenue, business or goodwill.
- Apart from that, each party's total liability under these terms is limited to [liability-cap].
- You are responsible for claims made against us because of your content, the end-user data you control, or your breach of these terms or the Acceptable Use Policy, and you will cover our reasonable costs of dealing with them.
Changes to these terms
- We may update these terms. The date at the top shows the current version.
- We tell the workspace owners by email at least [terms-change-notice-period] before a significant change takes effect.
- If you do not agree with a change, you can stop using Shipbell and cancel before it takes effect. If you keep using Shipbell after that, the new terms apply.
General
- These terms, with the documents they include, are the whole agreement between you and us about Shipbell, unless we agree otherwise in writing.
- If a part of these terms cannot be enforced, the rest still applies.
- If we do not enforce a right straight away, we can still enforce it later.
- You may not transfer these terms to anyone else without our written consent. We may transfer them to a business that takes over Shipbell, and we will tell you if we do.
- Neither of us is responsible for delays or failures caused by events outside our reasonable control.
Governing law and courts
These terms are governed by [governing-law]. The courts of [courts] decide any dispute about them.
